Remove your business from the Central Register and Information on Economic Activity (CEIDG)

What you should know and who can use this service

An application to remove your entry from CEIDG should be submitted if you have stopped running your business in all its forms (as a sole trader and under a civil law partnership). The same will apply if you transform your business into a one-member limited liability company registered in the National Court Register (KRS).

Please note! If you are planning to stop running your business temporarily, you do not need to deregister it – you may suspend it.

Removing your business from CEIDG and a civil law partnership

If you are a partner in a civil law partnership, an application to deregister your business will also mean closing the partnership. Therefore, if you do not wish to close your civil law partnership, instead of an application to remove your business from CEIDG, submit an application to update your entry (CEIDG-1 form), where you should include the information that you will operate only under a civil law partnership. If you do not want to be part of a civil law partnership but you wish to continue operating individually – submit an application to update your entry in CEIDG (CEIDG-1 form) and tick the box on removing the information on the civil law partnership from your entry in CEIDG.

In the event of closing your civil law partnership remember to remove the civil law partnership from the REGON register.

Where you can complete this procedure

You can complete this procedure at:

  • city/town or commune (gmina) offices
  • district offices of the capital city of Warsaw
  • cities with poviat status

An application to remove your business from CEIDG can be submitted online.

However, if you wish to complete the procedure in person, visit any city/town or district (gmina) office. At an office you can sign an electronic application which you have filled in on the CEIDG website, or you can submit an application on paper. What to do step by step

  1. Submit an application to remove your business from CEIDG

There are 3 ways to submit your application to CEIDG

Online

If you wish to submit your application online, this may be performed by your attorney-in-fact whose details have been given in your entry in CEIDG. However, the scope of the authorisation needs to include removal of business from CEIDG. If you refer to an attorney-in-fact already indicated in CEIDG, no stamp duty is necessary. Such authorisation is visible in the public register and does not have to be additionally confirmed with a power of attorney in writing.

At an office

You may submit your application in person at any city/town/district (gmina) office. The clerk will confirm the receipt of your application and enter the data from your application in the CEIDG system on the next day at the latest. Remember to take your ID with you as you will need to confirm your identity.

There are 4 ways to prepare the application:

  • Fill in the form on the CEIDG website. This may be done anonymously, without creating a user account. You do not need to print the form out. Just remember the code, that is your application number which will be visible on the CEIDG website once the form is completed. At the office the clerk will use this code to find your application in the CEIDG system. The clerk will print the form out for you to sign and then will confirm that the application has been submitted in the system.
  • Ask for the appropriate form at the office. Fill it in and sign it.
  • Use the CEIDG website to download the form. Fill it in, print it out and sign it before your visit at the office.
  • Call the Help Centre (801 055 088 or 22 765 67 32). A consultant will help you fill in the application. After the call, you will receive an SMS with a code (your application number). You will need this code at the city/town/gmina (district) office. At the office a clerk will print out your application for you to sign.

The application may be submitted at the office by an attorney-in-fact appointed under general rules. You do not need to prepare a power of attorney in writing if your attorney-in-fact is already indicated in your entry in CEIDG. Remember, however, that the scope of their authorisation needs to include removal of your business from CEIDG. If the application is submitted by an attorney-in-fact indicated in CEIDG, no stamp duty is charged and there is no need to present the power of attorney in writing. If the application is submitted by a different attorney-in-fact, remember that each power of attorney is subject to a stamp duty of PLN 17 (this does not include a power of attorney granted to your closest family members).

By post

The filled in application may be submitted by registered letter. In such case it should bear the applicant’s hand-written signature certified by a notary.

Time limit

You may submit the application to remove your entry from CEIDG at any moment, as long as it accurately reflects the facts.

  1. The office will check your application

If the application submitted by you online is incorrect, the CEIDG ICT system will notify you about this.

If you submitted the application in person or by registered letter at the selected office and it was found incorrect, the office will immediately notify you and request that you correct or complete the application, within 7 working days.

  1. Your business will be removed from CEIDG

In order to download a certificate confirming that your business has been removed from CEIDG, find your entry in the database of entrepreneurs and choose Print / Download as PDF.

In line with the “one-stop shop” principle, CEIDG will send the information on the removal of your business from the register to the tax office, GUS, ZUS/KRUS and to any registers for regulated business activity (if your business required a concession or a permit). If you close only this part of your business which is subject to a concession, permit or entry in a specific register, you need to notify the relevant office on your own.

Please note! Your business will be removed from CEIDG but your business information will be still visible in the register.

Good to know

Restoring your entry in CEIDG

Even after informing CEIDG about closing your business (application to remove your entry from CEIDG) you may report that you have changed your mind (so-called resignation from terminating business activity) and continue to operate. To do that, you need to submit an application to update your entry and tick the appropriate fields on the form. Remember that upon closing your business you will have also other duties, for instance concerning your accounting records or settlements with the tax office.”Restoring” your business activity may require completing additional formalities, for instance at the tax office or ZUS.

Registering a new business a day after closing the old one

If you have removed your business from CEIDG and then registered a new business on the following day – this will be treated as uninterrupted business activity. This concerns situations when the date of removing your entry regarding your old business is one day earlier than the date of starting your business as registered in the active entry.
