If you want to suspend a civil law partnership, you should first remember that the suspension of the partnership is effective provided that all partners suspend it

If you want to suspend a civil law partnership, you should first remember that the suspension of the partnership is effective provided that all partners suspend it.

When suspending partnerships of natural persons you should:

  • report the suspension of activity (all partners) to CEIDG
    • report the suspension (update the entry) to the Central Register and Information on Economic Activity
  • report the suspension to the Central Statistical Office (REGON register) on the RG-OP form
    • update civil law partnership data in the REGON register
  • report the suspension to the Tax Office on NIP-2 form
    • update your civil law partnership details.

If you have suspended self-employment and you are a partner in a civil law partnership, you may report termination of self-employment, i.e. resignation from self-employment only.

If you want to find out more about the company's suspension policy before submitting your application, please refer to the leaflet:

Notification of suspension to CEIDG

You can apply for a suspension in several ways. It should be submitted by all partners.

Visit to the office

The traditional way is to visit any nearest municipality/city office. The form for printing and filling can be downloaded from the CEIDG website (forms and instructions can be found at the bottom of the page). You can also send the application by post (registered letter), but remember that it will be valid only if you sign it yourself, certified by a notary public. In such a case, the date of submission of the application shall be the date on which the letter is sent. If the application submitted to the office contains errors, you may be called upon to correct or supplement the application within 7 working days. That is why it is a good idea to provide current contact details in your application.

If you are suspending your activity in several civil law partnerships and you are filling in a paper version of the form, please use the annex CEIDG-SC.

Completion/ submission of the online application form

It will be much more convenient for you to prepare your application electronically.

The advantage of applying online is, among other things, that most of the necessary data is filled in automatically on the basis of an entry in the CEIDG, without the need to enter it yourself. If you fill in the application form anonymously, i.e. without electronic signature, within 7 days from the date of filling in the application form you should visit any nearest municipality/city office in order to confirm your identity. Go to the office with the code (application number) obtained on the CEIDG website while filling in. The official will find the application in CEIDG after the application code, print it out, submit it for signing and confirm it in the system. In this case, the date of filing the application is the date on which you sign the application at the office. This means that you can suspend your activity on the day of signing the application (visit to the office) or on the day indicated in the application.

If you have an electronic signature or a Trusted Profile, you can settle all the formalities related to the suspension of your business online on the CEIDG website, without having to visit the office. You sign the completed form and send it online.

If your application for a suspension of your business is incorrect, CEIDG will let you know and help you correct the errors.

Report suspension by telephone

If you would like to report the suspension of your activity to CEIDG, you can also do so by phone. To do this, call the Help Centre (801 055 088 or 22 765 67 32).

The consultant will help you to fill in the application for changing the entry in CEIDG due to the suspension of your activity. After the call, you will receive an SMS with a code (application number). With this number, go to the town/city/district office. The official will print out your application and submit it to you for signature.

If the application to change the entry (concerning the suspension of  business activity in the form of a civil partnership) is incorrect:

  • if it has been submitted on-line - the CEIDG system will inform you immediately about the incorrectness of the application
  • if it has been submitted to the municipality office - the municipality authority shall immediately call for correction or completion of the application within 7 working days

Notification of suspension to the Central Statistical Office (REGON)

If you suspend your business activity in the form of a civil law partnership with the Central Statistical Office, you should apply for a change in the features covered by the registration. The application should be submitted on the RG-OP form within 7 calendar days from the date of suspension of the civil law partnership. The application should indicate, among other things, that it concerns the change of the features covered by the entry and the date of suspension of the partnership's operation. The application should be signed by all partners in a civil law partnership. The application may be submitted in person, by letter or by attorny-in-fact. No fee shall be payable to submit an application.

The application of RG-OP should be accompanied by information on partners in a civil law partnership (in the form of RG-SC).

Notification to the tax office

All partners in a civil law partnership should file an application with the Tax Office on suspending their business activity in the form of a civil law partnership. The application is made using the NIP-2 form (it should be submitted no later than 7 days from the date of suspension of business activity). Suspension of business activity conducted in the form of a civil law partnership does not require submission of a VAT-Z form to the tax authority.
